End User License Agreement
The agreement that governs your download and use of the ContractNearMe mobile app. This EULA is between you and Cobalt Payments Inc.; Apple Inc. is not a party to it. Please read it carefully before using the App.
READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THE CONTRACTNEARME APP.
By tapping “Agree,” downloading, or using the App, you accept all terms below. If you do not agree, do not download or use the App.
This is a binding legal agreement between you and Cobalt Payments Inc. Apple Inc. is not a party to this Agreement and is not responsible for the App or its content. See Section 17 for Apple’s role as a third-party beneficiary.
1. Parties & Acknowledgment
This End User License Agreement (“EULA” or “Agreement”) is a binding legal contract between you (“End User,” “you,” or “your”) and Cobalt Payments Inc., a corporation operating the ContractNearMe platform as a division (“Cobalt,” “ContractNearMe,” “we,” “us,” or “our”). This Agreement governs your license to download and use the ContractNearMe mobile application (the “App”) distributed on the Apple App Store and Google Play Store.
Apple acknowledgment — Required under Apple’s Minimum EULA Terms, Clause 1. This EULA is concluded between you and Cobalt Payments Inc. only, and not with Apple Inc. Cobalt Payments Inc., not Apple, is solely responsible for the App and its content. Apple has no obligation to provide maintenance, support, warranty, or product claim resolution under this Agreement. Apple’s role is limited to Section 17 below.

2. Scope of License
Subject to your acceptance of this EULA and payment of any applicable subscription fees, Cobalt Payments Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, as permitted by Apple’s App Store Terms of Service and the Usage Rules set forth in Apple’s Media Services Terms and Conditions.
This license permits use of the App under your personal Apple ID. Where Family Sharing is enabled, other members of your Family Sharing group may also access the App subject to Apple’s Family Sharing rules. This license does not permit you to:
- Transfer, sell, sublicense, rent, lease, or lend the App or your license to any third party
- Copy, reproduce, or duplicate the App except as permitted by this EULA and Apple’s Usage Rules
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the App
- Modify, adapt, translate, or create derivative works based on the App
- Remove, alter, or obscure any proprietary notices, branding, or labels on the App
- Use the App in any manner that violates applicable law, this EULA, or Apple’s App Store policies
3. Eligibility & Account Requirements
To use the App, you must be at least 18 years of age. The App is not intended for or directed to persons under 18. By downloading or using the App, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into a binding contract in your jurisdiction. If Cobalt learns that a user is under 18, that account will be immediately terminated.
The App supports two account types: Homeowner (Consumer) accounts for individuals seeking to hire licensed home-service professionals, and Contractor (Pro) accounts for licensed trade professionals offering services. A single account may access both roles using the role-switching feature. You agree to provide accurate, complete, and current information when creating your account and to keep it updated.
4. In-App Purchases & Auto-Renewable Subscriptions
The App offers optional auto-renewable subscription products purchased through Apple In-App Purchase. The following disclosure is required by Apple App Store Review Guideline 3.1.2(c).

4.3 Universal Auto-Renewal Disclosure
Subscription auto-renewal terms — please read carefully
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Your subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current subscription period.
- Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period, at the price stated above for your selected subscription plan.
- You may manage your subscription and turn off auto-renewal at any time by going to your Apple ID Account Settings after purchase.
- Cancellation of a current active subscription period is not available; cancellation takes effect at the end of the current period.
- If a free trial is offered, any unused portion of the free trial period will be forfeited when you purchase a subscription.
- Price changes to your subscription will be communicated with advance notice and will require your re-confirmation before taking effect.
To manage or cancel your subscription: open the Settings app on your iPhone, tap your name, tap Subscriptions, then tap ContractNearMe. Alternatively, go to the App Store, tap your profile icon, then tap Subscriptions.
5. Physical Home-Service Payments — Not In-App Purchases
When a homeowner hires a contractor and pays for physical home-improvement work performed in person at the homeowner’s property (for example, HVAC installation, plumbing repair, or roof replacement), that payment is made directly from the homeowner to the contractor through the contractor’s own payment gateway. These are payments for physical goods and services consumed off-device and outside the App. They are NOT In-App Purchases under Apple App Store Guideline 3.1.3(e) and 3.1.5(b).
Not an in-app purchase — ContractNearMe does not receive, hold, process, disburse, or profit from payments made between homeowners and contractors for physical home-service work. The App displays payment status metadata (amount, date, status) as a record only. No card or bank data is stored by ContractNearMe. No in-app digital feature is unlocked by a physical-service payment. All digital feature unlocks are governed solely by the IAP subscriptions described in Section 4.
6. Platform Role — Non-Involvement Disclaimer
Critical limitation of role — ContractNearMe and Cobalt Payments Inc. are technology intermediaries only. They are NOT party to any service agreement, contract, or payment transaction between a homeowner and a contractor. Specifically, ContractNearMe does NOT:
- Provide home-service or contracting services of any kind
- Employ, supervise, or control any contractor listed on the platform
- Guarantee, warrant, or assume liability for contractor work quality or performance
- Hold, escrow, or control any payment funds between users
- Mediate, arbitrate, or resolve disputes between homeowners and contractors
- Issue refunds for payments made to a contractor’s merchant account
All contractors on ContractNearMe are independent third-party professionals. They are NOT employees, agents, partners, or representatives of ContractNearMe or Cobalt Payments Inc. Cobalt is not vicariously liable for any act, omission, or misconduct of any contractor.
7. Maintenance & Support
Cobalt Payments Inc., not Apple, is solely responsible for providing maintenance and support for the App. If you have any questions, concerns, or technical issues with the App, contact ContractNearMe Support at support@contractnearme.com. Apple has no obligation whatsoever to provide any maintenance or support services for the App under this EULA or otherwise.
We may, but are not obligated to, release updates, bug fixes, or new versions of the App from time to time. Updates distributed through the Apple App Store will be subject to this EULA unless a new EULA accompanies the update. You agree that Cobalt may update the App and that the App may automatically update on your device.
8. Warranty Disclaimer
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COBALT PAYMENTS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
COBALT DOES NOT WARRANT THAT: (A) THE APP WILL MEET YOUR REQUIREMENTS; (B) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE QUALITY OF ANY CONTRACTOR’S SERVICES FOUND THROUGH THE APP WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE APP WILL BE CORRECTED.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Cobalt Payments Inc., not Apple.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COBALT PAYMENTS INC., CONTRACTNEARME, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damage to property or personal injury arising from contractor services
- Payment disputes, chargebacks, or failed transactions between users
- Contractor work quality, defects, or non-performance
- Errors or inaccuracies in contractor profiles, credential displays, or reviews
- Unauthorized access to your account or data
- App downtime, outages, or errors
COBALT’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS EULA OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL SUBSCRIPTION FEES YOU PAID TO COBALT IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Product Claims
Cobalt Payments Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the App or your use of the App, including but not limited to: (a) product liability claims arising from the App; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation. To the extent any such claim arises, contact ContractNearMe at support@contractnearme.com.
11. Intellectual Property
In the event of any third-party claim that the App, or your possession and use of the App, infringes a third party’s intellectual property rights, Cobalt Payments Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
The App, including its name “ContractNearMe,” all software, design, matching algorithms, trademarks, and platform-generated content, are owned by or licensed to Cobalt Payments Inc. Nothing in this EULA transfers ownership of any intellectual property to you.
11.1 Contractor Content License
When contractors upload portfolio photos, project descriptions, and business information to the App (“Contractor Content”), the contractor retains full copyright ownership. By uploading Contractor Content, you grant Cobalt a worldwide, royalty-free, non-exclusive, sublicensable, perpetual license to use, display, reproduce, distribute, modify, and market that content for platform operations and promotional purposes. This license survives EULA termination with respect to content already incorporated into marketing materials.
12. User Conduct & Prohibited Uses
You agree not to use the App to:
- Submit false, fraudulent, or misleading project requests or contractor applications
- Impersonate any person, business, or entity, or misrepresent your identity or credentials
- Access or use the App if you are under 18 years of age
- Post defamatory, harassing, threatening, or false reviews
- Use contact information obtained through the App for any purpose other than the specific project for which it was provided
- Solicit users to transact outside the App in a manner designed to circumvent subscription or fee arrangements
- Reverse engineer, scrape, or extract App data or technology
- Introduce malware, viruses, or harmful code to the App
- Discriminate against any user based on race, color, religion, sex, national origin, disability, age, or any other protected class
- Violate any applicable federal, Connecticut, or local law through your use of the App
13. Privacy Policy
Your use of the App is also governed by ContractNearMe’s Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Cobalt, not Apple, is responsible for the App’s data collection, use, and privacy practices.
14. Legal Compliance
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
You agree to comply with all applicable federal, state, and local laws in connection with your use of the App, including but not limited to: Connecticut trade-licensing requirements (for contractors), consumer protection laws, anti-discrimination laws, tax obligations, and data-privacy laws applicable to your activities on the platform.
15. Third-Party Terms of Agreement
Your use of the App may involve third-party products and services that are subject to their own terms and conditions. You agree to comply with all applicable third-party terms when using the App. These may include, but are not limited to:
- Apple’s Media Services Terms and Conditions (governing App Store access and In-App Purchases)
- Cobalt Payments Inc. / NMI payment-processing terms (for contractors enrolling in merchant accounts)
- Approved third-party payment-processor terms (Fiserv, TSYS) for contractors using alternative processing
- Background-check provider terms (Checkr, Inc.; Sterling Infosystems, Inc.; Verified First, LLC) for contractors undergoing screening
- Apple Pay and Google Pay terms for homeowners making service payments
- Twilio or equivalent SMS / telephony provider terms for communications through the platform
If any third-party terms conflict with this EULA, the third-party terms govern solely with respect to that third-party service.
16. Governing Law & Dispute Resolution
This EULA is governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this EULA or your use of the App that is not resolved through binding arbitration under the ContractNearMe Terms of Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New Haven County, Connecticut.
Binding arbitration & class action waiver — Any claim or dispute between you and Cobalt arising from this EULA or the App shall be resolved by binding individual arbitration as set forth in Section 19 of the ContractNearMe Terms of Service, which is incorporated into this EULA by reference. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
17. Apple as Third-Party Beneficiary
Apple third-party beneficiary — Required under Apple’s Minimum EULA Terms, Clause 10. You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of this EULA, and that upon your acceptance of the terms of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Apple is not a party to this EULA and is not responsible for the App or its content. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple via the App Store, and Apple may refund the App purchase price (if any). Apple has no other warranty, maintenance, support, or liability obligation regarding the App.
18. Termination
This EULA is effective until terminated. Your rights under this EULA will automatically terminate if you fail to comply with any of its terms. Upon termination: (a) all rights granted to you under this EULA immediately cease; (b) you must stop all use of the App and delete all copies; (c) active subscription entitlements terminate at the end of the current paid period; and (d) Sections 6, 8, 9, 10, 11, 16, and 17 survive termination.
Cobalt may terminate or suspend your access to the App at any time, without notice, for any violation of this EULA, the Terms of Service, or applicable law. You may terminate this EULA by deleting the App from all your devices and cancelling any active subscriptions. Account deletion is available in-app under Settings › Account › Delete Account, or at any time on the web via contractnearme.com/account-deletion.
19. Modifications to This EULA
Cobalt reserves the right to modify this EULA at any time. Material changes will be communicated by: (a) posting the updated EULA at contractnearme.com/eula with a new effective date; (b) displaying an in-app notice on your next login; and (c) updating the EULA in App Store Connect. Your continued use of the App after the effective date constitutes your acceptance of the modified EULA.
20. Miscellaneous
20.1 Entire Agreement
This EULA, together with the ContractNearMe Terms of Service and Privacy Policy, constitutes the entire agreement between you and Cobalt regarding the App and supersedes all prior agreements.
20.2 Severability
If any provision of this EULA is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions remain in full force.
20.3 No Waiver
Cobalt’s failure to enforce any right or provision of this EULA does not constitute a waiver of that right or provision.
20.4 Future Entity
ContractNearMe is currently operated as a division of Cobalt Payments Inc. It is anticipated that ContractNearMe may be incorporated as a separate legal entity at a future date. In the event of such separation, this EULA will remain in effect and references to “Cobalt” will transfer to the successor entity with advance notice to users.

BY TAPPING “AGREE,” DOWNLOADING, OR USING THE CONTRACTNEARME APP, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS END USER LICENSE AGREEMENT, INCLUDING THE APPLE ACKNOWLEDGMENTS AND THE ARBITRATION AND CLASS ACTION WAIVER INCORPORATED FROM THE TERMS OF SERVICE.
